Terms of Service

Effective date: August 25, 2026

These Terms of Service (the “Terms”) govern access to Scoblade, a software service operated by Intavant. “Scoblade,” “Intavant,” “we,” “us,” and “our” refer to Intavant and the Scoblade service. By accessing or using the Scoblade website, platform, or related services, you agree to these Terms. If you use Scoblade for an organization, you represent that you have authority to bind that organization.

1. Scope and additional agreements

These Terms apply to the public website, customer accounts, hosted platform, content-delivery services, documentation, and related support we provide (collectively, the “Service”). A signed order form, data processing addendum, service-level agreement, or other written agreement may contain additional terms. If there is a conflict, the signed agreement controls for the subject it addresses.

Sending an inquiry, requesting a demonstration, or joining a mailing list does not create a customer relationship or require Intavant to provide the Service. A commercial relationship begins only when Intavant accepts an order, activates a paid subscription, or enters into a separate written agreement.

2. Eligibility and accounts

You must be at least 18 years old and legally able to enter into these Terms to create or administer an account. You must provide accurate account information, keep credentials confidential, and promptly notify us if you suspect unauthorized access. You are responsible for activity under your account and for managing the users you authorize.

3. Use of the Service

Subject to these Terms and any applicable order, Intavant grants you a limited, nonexclusive, nontransferable right to access and use the Service for your internal business purposes. You may allow authorized users and learners to use the Service within the scope of your subscription and configuration.

You may not:

  • use the Service unlawfully, fraudulently, or to infringe another person’s rights;
  • probe, scan, disrupt, overload, or attempt to bypass the security or access controls of the Service;
  • access another customer’s data or permit unauthorized users to access your account;
  • reverse engineer, copy, resell, sublicense, or commercially exploit the Service except as expressly permitted in writing;
  • upload malware or content that is unlawful, deceptive, defamatory, or infringes intellectual-property or privacy rights; or
  • use the Service to build or benchmark a competing product, except to the extent a restriction is prohibited by law.

4. Customer content and learner data

“Customer Content” means information, files, course packages, branding, configurations, learner records, and other material submitted to the Service by or for a customer. As between the parties, the customer retains its rights in Customer Content. The customer gives Intavant permission to host, copy, process, transmit, display, and modify Customer Content only as reasonably necessary to provide, secure, support, and improve the operation of the Service or as otherwise instructed or agreed.

The customer is responsible for Customer Content and represents that it has all permissions, notices, consents, and other authority needed for Intavant to process it. Customers should not submit Social Security numbers, payment-card data, medical information, government identifiers, or other specially regulated information unless Intavant has expressly agreed in writing to support that use.

Customer administrators control learner identities, course assignments, delivery settings, and access to learning records. When the Service processes learner data on a customer’s behalf, the customer determines the lawful basis and purposes for that processing, and Intavant acts on the customer’s documented instructions except where law requires otherwise.

5. Learners and minors

Individual learners do not create customer administrator accounts. A customer that uses the Service with minors is responsible for determining whether that use is appropriate and for obtaining legally required school, parent, or guardian authorization. Use involving children under 13 requires prior written agreement with Intavant and may require additional notices, safeguards, or restrictions.

6. Accessibility of customer content

Intavant works to make the interfaces and services it controls accessible. Customers remain responsible for the accessibility, accuracy, and legality of course packages and other Customer Content they create or upload. Our Accessibility Statement explains the scope of our accessibility efforts and how to request assistance.

7. Privacy and data protection

Our Privacy notices explain how Intavant handles personal information. A customer’s processing of learner or end-user information is also governed by the customer’s own notices and obligations. Where applicable, a data processing addendum or other signed agreement will govern Intavant’s processing on the customer’s behalf.

8. Security

Intavant uses reasonable administrative, technical, and organizational safeguards designed to protect the Service and information processed through it. No system is completely secure, and we cannot guarantee that unauthorized access, loss, or disruption will never occur. Customers are responsible for appropriate account configuration, access management, endpoint security, and secure use of integration credentials.

9. Third-party systems

The Service may interoperate with learning management systems, cloud platforms, authentication services, and other third-party products. Intavant does not control third-party products and is not responsible for their availability, security, content, or independent data practices. Your use of a third-party product may be governed by separate terms.

10. Fees and subscriptions

Prices, subscription periods, usage limits, invoicing, renewal, taxes, and payment terms are stated in the applicable order or checkout process. Unless an order says otherwise, fees are nonrefundable except where required by law. Intavant may suspend paid features for overdue undisputed amounts after reasonable notice.

11. Ownership and feedback

Intavant and its licensors retain all rights in the Service, including its software, design, documentation, trademarks, and underlying technology. Except for the limited right to use the Service, these Terms do not transfer intellectual-property rights to you.

If you provide suggestions or feedback, you allow Intavant to use it without restriction or compensation, provided we do not identify you publicly as the source without permission.

12. Changes and availability

We may update, improve, or discontinue features of the Service. We will use reasonable efforts to avoid material disruption and to provide notice when a change materially reduces paid functionality. The Service may be unavailable because of maintenance, security events, third-party failures, internet conditions, emergencies, or circumstances outside our reasonable control. Any specific availability or support commitment applies only if stated in a signed agreement.

13. Suspension and termination

We may suspend access when reasonably necessary to prevent harm, address a security risk, comply with law, respond to prohibited use, or address a material breach of these Terms. When practical, we will give notice and an opportunity to cure.

You may stop using the website at any time. Subscription cancellation and termination rights are governed by the applicable order. After termination, customer access ends and we may delete Customer Content according to the applicable agreement, customer instructions, backup practices, and legal obligations. Customers should export information they need before access ends.

14. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Intavant disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. Intavant does not warrant that the Service will be uninterrupted or error-free, that all defects will be corrected, or that customer-provided content will operate correctly in every third-party learning environment. These disclaimers do not override an express warranty in a signed agreement or a right that cannot lawfully be waived.

15. Limitation of liability

To the fullest extent permitted by law, neither party will be liable under these Terms for lost profits, lost revenue, loss of goodwill, loss of data, business interruption, or indirect, incidental, special, consequential, exemplary, or punitive damages, even if advised that such damages were possible.

Except for payment obligations, misuse of the other party’s intellectual property, a party’s indemnification obligations, or liability that cannot lawfully be limited, each party’s total liability arising from the Service will not exceed the fees paid or payable to Intavant for the Service during the 12 months before the event giving rise to the claim. If no fees were paid or payable, Intavant’s total liability will not exceed US $100.

16. Indemnification

To the extent permitted by law, a customer will defend and indemnify Intavant against third-party claims, damages, and reasonable costs arising from Customer Content, the customer’s instructions, the customer’s violation of law or these Terms, or the customer’s infringement of another person’s rights. Intavant will promptly notify the customer of a covered claim and provide reasonable cooperation. A customer may not settle a claim in a way that admits fault by or imposes an obligation on Intavant without written consent.

17. Disputes and governing terms

Before filing a claim, each party will make a good-faith effort to resolve the dispute through written notice and discussion. A signed order or other agreement may specify governing law and venue. If it does not, applicable conflict-of-law and jurisdiction rules will determine the law and forum. Nothing in these Terms prevents either party from seeking urgent relief to protect security, confidential information, or intellectual-property rights.

18. Changes to these Terms

We may update these Terms to reflect changes in the Service, law, or business practices. We will post the revised Terms with a new effective date. If a change materially affects an active paid subscription, we will provide reasonable advance notice and request renewed acceptance when appropriate. Changes do not retroactively alter rights or obligations unless permitted by law and agreed by the parties.

19. General

You may not assign these Terms without Intavant’s written consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets. Intavant may assign these Terms in connection with a business reorganization or transfer of the Service. If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. These Terms and incorporated agreements constitute the complete agreement concerning their subject matter.

20. Contact

Questions about these Terms may be sent to [email protected] or through our contact form.
